1. Definitions

• "SmoothGuides," "we," "us," "our": Refers to HelloBnB LLC, operating as SmoothGuides.

• "Customer," "you," "your": Refers to the individual, company, or legal entity using the Services.

• "Authorized User": Any individual authorized by the Customer to access and use the Services.

• "Content": Any data, text, images, or other material submitted or transmitted through the Services.

• "Subscription Term": The duration of your active subscription, as indicated in your Order.

• "Order": The agreement (digital or physical) specifying the purchased Services, including plan details, pricing, and duration.

2. Acceptance of Terms

By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Services.

3. Access and Use of Services

3.1 Grant of License

SmoothGuides grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services during the Subscription Term for your internal business purposes, subject to these Terms and the applicable documentation.

3.2 Restrictions

You agree not to:

1. Modify, reverse-engineer, or decompile any part of the Services.

2. Use the Services for unlawful purposes or to infringe on the intellectual property rights of others.

3. Resell, lease, sublicense, or otherwise make the Services available to unauthorized third parties.

4. Store or process sensitive personal data (e.g., health data, financial information) on the platform unless explicitly agreed to by SmoothGuides.

3.3 Free Trials and Beta Features

If you are using the Services on a free trial or beta basis ("Trial Services"), the Trial Services are provided "as is" and "as available" without any warranties or guarantees. Trial Services may be terminated at any time by SmoothGuides without notice.

4. Customer Responsibilities

4.1 User Accounts and Security

• You are responsible for maintaining the confidentiality of account credentials and ensuring that only Authorized Users access the Services.

• You will promptly notify SmoothGuides of any unauthorized access or breaches related to your account.

4.2 Compliance

You are solely responsible for ensuring that your use of the Services complies with all applicable laws and regulations, including data privacy laws.

5. Payment and Fees

5.1 Fees and Invoicing

All subscription fees are due in advance, as specified in your Order. Payments are processed via our authorized payment providers, and their terms apply.

5.2 Taxes

All fees are exclusive of applicable taxes. You are responsible for the payment of any taxes related to your use of the Services, excluding taxes based on SmoothGuides' net income.

5.3 Late Payments

Payments not received by the due date may incur interest at 1.5% per month or the maximum rate allowed by law, whichever is lower.

6. Intellectual Property

6.1 Ownership

All intellectual property rights in the Services, including software, trademarks, and content provided by SmoothGuides, remain the exclusive property of SmoothGuides or its licensors.

6.2 Customer Data

You retain ownership of all data you upload to the Services. By using the Services, you grant SmoothGuides a non-exclusive license to process and use your data as necessary to provide and improve the Services.

7. Support and Service Levels

SmoothGuides offers support during business hours via email at hello@smoothguides.io. While we strive to maintain optimal uptime, the Services may occasionally experience downtime due to maintenance or unforeseen circumstances.

8. Termination

8.1 Termination by Customer

You may terminate your subscription at any time by providing written notice to SmoothGuides. Refunds are only provided in accordance with our Refund Policy.

8.2 Termination by SmoothGuides

SmoothGuidesmay terminate your access to the Services if you:

1. Breach these Terms and fail to resolve the issue within 30 days of notice.

2. Fail to pay fees when due.

3. Engage in activities that harm SmoothGuides' operations or reputation.

8.3 Effect of Termination

Upon termination, access to your account will cease, and data may be permanently deleted after 30 days unless otherwise required by law.

9. Limitation of Liability

9.1 No Warranties

The Services are provided "as is" without warranties of any kind.

9.2 Limitation

SmoothGuides’ total liability for any claim related to these Terms shall not exceed the fees paid by you in the 12 months preceding the claim.

9.3 Exclusions

SmoothGuides is not liable for indirect, incidental, or consequential damages, including loss of profits, data, or revenue.

10. Indemnification

You agree to indemnify and hold SmoothGuides harmless from any claims, damages, or liabilities arising from your use of the Services, your violation of these Terms, or your infringement of third-party rights.

11. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared in connection with these Terms, except as required by law or with prior written consent.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of Delaware, USA. Any disputes will be resolved exclusively in the courts located in Delaware.

13. Changes to Terms

SmoothGuides reserves the right to update these Terms. Continued use of the Services after updates indicates your acceptance of the revised Terms.

14. Miscellaneous

14.1 Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and SmoothGuides.

14.2 Severability

If any provision of these Terms is found invalid, the remaining provisions will remain in effect.

14.3 Force Majeure

SmoothGuides is not responsible for delays or failures due to events beyond our reasonable control, including natural disasters, internet outages, or government actions.
